Terms & Conditions

These Terms & Conditions ("Terms") form a binding agreement between you ("User") and Plus Ultra Innovation, a sole-proprietorship registered in Thane, Maharashtra with GSTIN 27EYMPS1491H1ZT (the "Company", "we", "us"), regarding your use of the ProcureOne Ultra platform.

By registering, logging in, or transacting on ProcureOne Ultra, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy and our Data Protection Policy. If you do not agree, do not use the platform.

1. Eligibility

You must be (a) at least 18 years of age, (b) competent to contract under the Indian Contract Act, 1872, and (c) authorised to bind your organisation if registering on its behalf.

2. Account Roles

• Buyer: a Co-operative Housing Society, Facility Manager or other procurement principal.
• Supplier: a vendor / service provider responding to tenders.
• Partner / DSA: referral / on-ground network member.
• Admin: Plus Ultra Innovation staff.

3. Subscriptions & Payments

Buyer and Supplier memberships are sold as annual subscriptions inclusive of 18% GST, invoiced under tax codes PUI/BUY/YY-YY/NNN and PUI/SUP/YY-YY/NNN respectively. Payments are collected by Razorpay; signature verification, idempotency and 5-minute replay protection apply to every webhook. Subscriptions are valid for the period stated at checkout (24 months for Founding Members, 12 months otherwise).

4. Success Fee

Upon a tender award, ProcureOne Ultra charges the awarded supplier a Platform Success Fee (currently 0.30% of contract value + 18% GST), invoiced under code PUI/SF/YY-YY/NNN. The Purchase Order becomes downloadable only after the success-fee invoice is marked paid.

5. Refunds & Cancellation

Subscription fees are non-refundable once a user has accessed the portal post-payment, except (a) duplicate captures resolved within 7 days, (b) verified platform unavailability exceeding 72 continuous hours, or (c) where mandated by the Consumer Protection Act, 2019. Refund requests must be sent to sawant.ds@gmail.com with the invoice number.

6. Acceptable Use

• No false / misleading tenders or bids; no quotation manipulation.
• No uploading of malicious files (the platform blocks .exe / .php / .sh / .bat / .svg / .html / .js and similar executable types).
• No scraping, automated probing, or attempts to circumvent authentication, rate-limits or webhook security.
• No content that is unlawful, defamatory, obscene, or infringing third-party rights.

7. Intellectual Property

All platform code, design, marks ("ProcureOne Ultra", "Plus Ultra Innovation") and documentation are owned by Plus Ultra Innovation. Users retain ownership of their submitted tender / bid content but grant us a non-exclusive licence to host and process it for service delivery.

8. Confidentiality

Tender, bid and pricing data is confidential between the buyer and the participating supplier(s). Plus Ultra accesses such data only for service delivery, audit, fraud detection, or where legally compelled.

9. Limitation of Liability

To the extent permitted by law, Plus Ultra's aggregate liability for any claim arising out of these Terms or the platform shall not exceed the fees paid by the User in the 12 months preceding the claim. In no event are we liable for indirect, consequential or punitive damages.

10. Indemnity

The User agrees to indemnify Plus Ultra against losses arising from (a) the User's breach of these Terms, (b) infringement of third-party rights, or (c) misuse of the platform.

11. Suspension & Termination

We may suspend or terminate an account for breach of these Terms, payment default, fraudulent activity, or by court / regulatory order. Termination does not refund accrued fees nor extinguish liabilities prior to termination.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to §13, the courts at Thane, Maharashtra shall have exclusive jurisdiction.

13. Dispute Resolution

The parties shall attempt to resolve disputes amicably within 30 days of written notice. Failing that, disputes shall be referred to a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Thane, Maharashtra. The language of arbitration shall be English.

14. Changes to these Terms

Material changes will be notified by email at least 7 days before they take effect. The version and effective date appear at the top of this page.
